Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and SAHAB LLC, an Indiana limited liability company that operates the Sahab Key platform ("Sahab Key", "we", "us", or "our"), and govern your access to and use of the Sahab Key property management platform, including the manager portal, the tenant portal, and this website (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who these Terms apply to

The Service is used by two kinds of users. "Managers" are property management companies and landlords that use the Service to manage rentals. "Tenants" are residents who use the Service to pay rent and interact with their Manager. Some sections below apply only to Managers, and some only to Tenants, as noted. An organization's account owner is responsible for the actions of the team members it invites.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • You agree to provide accurate information and to keep it current.
  • You are responsible for keeping your credentials secure and for all activity under your account. Managers should enable multi-factor authentication. Notify us promptly of any unauthorized use.

3. The role of Sahab Key

Sahab Key provides software and payment facilitation. We are a technology vendor and, through a third-party payment processor and its connected-account platform, a facilitator of payments between Tenants and Managers. We are not a landlord, property manager, broker, lender, collection agency, escrow agent, or party to any lease, and we are not a Manager's agent for application, approval, leasing, or other rental decisions. Managers are solely responsible for their own rental businesses, including lease terms, rent amounts, fee and grace-period settings, application and leasing decisions, deposit handling, eviction actions, and compliance with all laws that apply to them, including fair housing, landlord and tenant, and debt collection laws. Nothing in the Service is legal, tax, accounting, or financial advice.

4. Payments and fees

4.1 Subscription fees (Managers)

Managers pay a subscription to use the Service. There is no free trial. When you create a paid workspace you provide a payment method, and your first subscription fee is charged when your subscription begins. The subscription then renews automatically at the start of each billing period (monthly, unless you selected a different interval) at the then-current price for your plan and any add-ons, and your payment method is charged for each renewal, until you cancel. By starting a subscription you agree to this automatic renewal and automatic charging. Plan details, prices, the billing interval, and the fact that the subscription renews automatically are shown at sign-up and in your billing settings, and prices may change on notice. You can cancel at any time from your billing settings or by contacting us; cancellation stops future renewals and takes effect at the end of the current paid period, and you keep access until then. Except where required by law, subscription fees already charged are not refundable, and we do not provide prorated refunds for a partial period after cancellation.

4.2 Rent and other tenant payments

Payments that Tenants make through the Service, including rent, fees, and deposits, are processed by Stripe. Sahab Key is not a party to the underlying lease and does not decide what a Tenant owes. Amounts owed, late fees, grace periods, proration, and any Manager-set fees (such as application fees and service or maintenance request fees) are configured by the Manager and are shown in the Service at the time they apply. Such fees are set by the Manager, not by Sahab Key, and are non-refundable once the associated review or work has begun, except where the Manager or applicable law provides otherwise. Bank transfers (ACH) can take several business days to clear, and a payment may fail or be returned by the bank. Where a payment fails, the balance remains due and the Manager's late-fee rules may apply. Autopay attempts a scheduled payment and retries automatically according to its configuration, but it does not guarantee a payment will succeed.

4.3 Processing fees

A processing fee is added to payments made through the Service, whether by card or by bank transfer (ACH). The fee is a pass-through of the cost of processing the payment, not a markup: it works out to approximately 3% for card payments and approximately 0.8%, capped at $5, for bank transfers, so bank transfer is the lower-cost option. The exact dollar amount of the fee is shown in the Service before you confirm a payment, and autopay payments include the same fee. The fee is charged only where and as permitted by applicable law and card network rules, and it will be adjusted or removed where the law requires.

4.4 Autopay and recurring payment authorization (Tenants)

Autopay is optional. When you enable autopay, you authorize your Manager, through Sahab Key and its payment processor (Stripe), to initiate recurring charges to the bank account or card you select for the total amount then due on your account (rent and any other charges, which may vary from month to month), plus the processing fee described in Section 4.3, on each scheduled payment date, until you cancel. For payments from a bank account, this authorization is your agreement to recurring ACH debits under the Nacha operating rules. The authorization text you accept, the date and version you accepted, and any later revocation are retained as a record. The amount due and your scheduled payment date are shown in your tenant portal. You may cancel autopay at any time by turning it off in your portal settings, and it stops immediately. If you cannot reach your settings, contact your Manager and they will turn it off for you. To be sure a scheduled payment does not run, cancel at least three business days before its date. Cancelling autopay does not waive amounts you owe under your lease. If an autopay payment fails or is returned, the balance remains due, the payment may be retried, and your Manager's late-fee or returned-payment rules may apply. If you believe a payment was made in error or without your authorization, contact your Manager and your bank promptly; federal law gives consumers rights regarding unauthorized electronic fund transfers.

4.5 Payouts and connected accounts (Managers)

Managers who collect payments must connect one or more Stripe connected accounts so that funds route to the correct party, and must accept and comply with the Stripe Connected Account Agreement and Stripe's terms. A building cannot collect Tenant payments until a connected account is attached to it. Sahab Key does not hold, pool, or disburse Manager funds and is not an escrow agent, a trustee, or a money transmitter. Stripe, not Sahab Key, holds and moves funds and determines settlement timing. You are responsible for the accuracy of your payout configuration.

5. Rental applications

The Service lets Managers accept rental applications. An applicant creates a profile, uploads supporting documents (such as a photo ID, proof of income, and a bank statement), consents to the Manager reviewing those documents, and pays an application fee set by the Manager. The Manager reviews the application and decides whether to approve it. Where a Manager's staff enters an application on an applicant's behalf, the Service also provides slots for the staff to upload an image of the applicant's Social Security card and a criminal background check record the Manager obtained; Sahab Key stores those documents for the Manager as its processor. Sahab Key does not verify identity biometrically, does not link or verify bank accounts, does not perform tenant screening, and does not obtain, order, or generate credit, criminal, eviction, or other consumer reports, and Sahab Key does not make or influence any approval or denial decision. Application fees are set by the Manager and, except where the Manager or applicable law provides otherwise, are non-refundable, including where an applicant abandons an application. A Manager that chooses to screen applicants does so outside the Service and is responsible for the notices, consents, and adverse-action requirements that apply to it.

6. Acceptable use

You agree not to:

  • use the Service to violate any law or the rights of others, including fair housing and privacy laws;
  • upload malicious code, attempt to breach security, probe or scan the Service, or access data that is not yours;
  • use another person's account or misrepresent your identity or authority;
  • use the Service to send unlawful, harassing, or deceptive messages; or
  • copy, resell, or reverse engineer the Service except as permitted by law.

7. Your content

You retain ownership of the content you submit, including leases, documents, photos, and records ("Your Content"). You grant Sahab Key a limited license to host, store, process, and display Your Content as needed to provide the Service, including through the service providers described in our Privacy Policy. You are responsible for Your Content and for having the rights and consents needed to submit it. You are responsible for keeping your own copies of records you need; while the Service helps you retain records, it is not a substitute for your own recordkeeping.

8. Maintenance and emergencies

Tenants can submit maintenance and service requests through the Service, subject to the size and format limits shown in the app. The Service is not monitored for emergencies and is not an emergency service. For any situation that threatens life, safety, or property, contact your property manager directly using the details on your lease, or contact emergency services. Managers may assess charges for damage beyond normal wear as permitted by the lease and applicable law.

9. Third-party services

The Service relies on third parties, including Stripe for payments, DocuSeal for electronic lease signatures, SendGrid for email, Supabase for document storage, Google Maps for mapping, and Anthropic for AI-assisted features, together with the other providers listed in our Privacy Policy. Your use of features that depend on these providers may be subject to their terms. We are not responsible for the acts or omissions of third-party providers.

10. AI-assisted features

AI-assisted features can be inaccurate or incomplete and may not reflect your latest data. They are informational only, are not legal, tax, accounting, or financial advice, and you should verify anything important before relying on it.

11. Electronic signatures

The Service supports signing leases and related documents electronically. By signing electronically, you agree that your electronic signature is the legal equivalent of your handwritten signature and that the signed record is enforceable. Managers are responsible for ensuring that the documents they send are complete and lawful.

12. Intellectual property

The Service, including its software, design, and content other than Your Content, is owned by SAHAB LLC and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service. We reserve all rights not expressly granted.

13. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Sahab Key does not warrant that the Service will be uninterrupted, error free, or secure, or that payments will always clear on time. Sahab Key is not responsible for a Manager's compliance with the laws that govern its rental business.

14. Limitation of liability

To the fullest extent permitted by law, Sahab Key and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service. To the fullest extent permitted by law, the total liability of Sahab Key for any claim relating to the Service will not exceed the amount you paid to Sahab Key for the Service in the twelve months before the event that gave rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless Sahab Key and its affiliates from any claims, losses, and expenses, including reasonable legal fees, that arise from your use of the Service, Your Content, your violation of these Terms, or, for Managers, your rental business and your compliance obligations.

16. Term and termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate access if you violate these Terms, if required by law, or to protect the Service or its users. On termination, your right to use the Service ends. Provisions that by their nature should survive, including payment obligations, disclaimers, limitations of liability, and indemnification, will survive.

Before closing your account, Managers can export their workspace data from billing settings. After an account is closed or deleted, we may delete Your Content, subject to records we retain as described in our Privacy Policy and as required by law.

17. Changes to the Service and these Terms

We may change the Service and update these Terms from time to time. When we make material changes to these Terms, we will update the "Last updated" date above and, where appropriate, notify account holders. Continued use of the Service after a change takes effect means you accept the updated Terms.

18. Governing law

These Terms are governed by the laws of the State of Indiana, United States, without regard to its conflict of laws rules. The courts located in Indiana will have jurisdiction over disputes relating to these Terms, and you consent to their jurisdiction, unless applicable law provides otherwise.

19. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and Sahab Key regarding the Service. If any provision is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. We are not liable for failures caused by events beyond our reasonable control. You consent to receive notices, agreements, and disclosures from us electronically.
